2. Engaging Aliso Digital

When you engage Aliso Creative Co Pty Ltd (trading as Aliso Digital Design Studio), these Terms and Conditions apply to our work from the moment you accept an estimate, we issue you an invoice, or we begin work, whichever comes first.

If you and we sign a proposal, statement of work or contract, that document comes first. These Terms and Conditions then fill any gaps.

3. Payment Terms

  • Full project fees are due upon project completion, before the release of final deliverables, unless otherwise agreed in writing.
  • All invoices must be paid within 14 days from the invoice date.
  • Overdue amounts incur interest at 10% per year, calculated daily from the due date until paid, plus our reasonable costs of recovering the debt.
  • We may pause work and hold final deliverables until overdue amounts are paid.
  • For fixed-term projects, a 25% deposit is required upfront, with the remainder billed at a daily rate (AUD only).
  • Preferred Engagement: We prefer daily rate engagements.
  • Additional work outside the agreed scope will be billed separately at AUD $750 per day, excluding GST (GST will be added on top).

4. Scope of Work

  • Services include (but are not limited to): user guides, manuals, work instructions, Standard Operating Procedures (SOPs), process documentation, process maps, training guides, PowerPoint presentations, reports, infographics, document design, desktop publishing, quick reference guides, cheat sheets, quick reference sheets, annual reports, UX and UI design, and bid, tender and proposal content.
  • Exclusions: We do not provide website design, website copy, copywriting, or related documentation.
  • We run workshops and consult on best practices, but we do not deliver formal training courses.

5. Timeline & Delivery

  • Timelines will be mutually agreed upon and adhered to as closely as possible.
  • Delays caused by the client (e.g., late feedback) may impact delivery schedules.
  • Timeline changes due to scope adjustments will be communicated promptly.

6. Intellectual Property Rights

  • Intellectual property remains with Aliso Creative Co Pty Ltd until full payment is received.
  • Upon payment, ownership of final deliverables transfers to the client.
  • Portfolio Rights: Aliso Creative Co Pty Ltd retains the right to showcase non-confidential work, including business names, in portfolios and marketing materials.
  • Confidential Data: May include, but is not limited to, financial data, proprietary processes, trade secrets, client/customer information, and internal policies. Such data will be redacted before public use.

7. Use of Tools & Technology

  • We reserve the right to use appropriate tools, including AI-assisted technologies (such as Microsoft Copilot, Claude and ChatGPT), Microsoft Office 365, other cloud-based tools, and local software. Our Privacy Policy explains how client information is handled when we do.
  • If you do not want AI tools used on your information, it is your responsibility to tell us before work starts. If you tell us verbally, we will confirm it in writing, and it applies from when we confirm it in writing.
  • We are not responsible for the cybersecurity practices, privacy policies, or potential data breaches of third-party platforms.

8. Cancellation & Refund Policy

  • You can cancel at any time by telling us in writing (email is fine).
  • If you cancel after work has started, you pay for all work completed up to the cancellation date, plus any costs we have already committed to and cannot recover.
  • If you give less than 14 days’ written notice, we may also charge for the time we had booked for your project during that 14-day notice period.
  • Completed work is non-refundable once you have approved it.

9. Project Resources & Collaboration

  • Trusted subcontractors, both local (Australia-based) and international, may be engaged. All subcontractors are bound by strict confidentiality agreements.
  • The selection of subcontractors is at the sole discretion of Aliso Creative Co Pty Ltd.

10. Confidentiality & Data Security

  • Client data is stored only on approved cloud platforms (such as Microsoft Office 365) or on Aliso-issued laptops, and is safeguarded using multi-factor authentication and antivirus protection.
  • If we work in your systems, or in other third-party tools you ask us to use, Aliso Creative Co Pty Ltd is not responsible for their data security practices.
  • Client Responsibility: Clients are responsible for providing accurate information and understand that data security on their end is also essential.

11. Liability & Warranties

  • Aliso Creative Co Pty Ltd will not be liable for indirect, incidental, or consequential damages.
  • Our total liability to you for any claim is limited to the fees you paid us for the work the claim relates to.
  • Clients are responsible for final proofreading. Errors identified post-approval will incur additional fees.
  • We do not guarantee long-term accuracy of content due to potential changes in software, systems, or processes.
  • We are not liable for inaccuracies based on client-provided information or changes post-delivery.
  • Nothing in these Terms and Conditions limits any rights you have under the Australian Consumer Law that cannot be excluded.

12. Resolving Disputes

If we disagree about anything, we will both try to sort it out quickly and in good faith.

  • Talk first: You and our Managing Director talk by phone or video call and try to agree a solution.
  • Then put it in writing: If the call does not settle it, either of us can email a short summary of the issue. We then work together to agree a written resolution, and we both confirm it in writing.
  • If it is still not resolved after 30 days, either of us may take further steps, including through the courts of Victoria.
  • Any part of an invoice that is not in dispute must still be paid on time.
